Welcome to Platsage! These terms and conditions ("Terms") govern your use of the Platsage application ("App") and the services provided through the App, including messaging and other communication services (collectively, the “Services”). By using the App or the Services, you agree to be bound by these Terms.

1. Introduction

Welcome to Platsage! These Terms and Conditions (“Terms”) govern your access to and use of the Platsage platform (the “App”), provided by Yamil Adrian Elias Soto, a legally established entity under Mexican law. The Services provided through the App include, but are not limited to, messaging management, customer relationship management (CRM), workflow automation, and communication across multiple social media channels. By accessing or using the App or Services, you explicitly agree to comply with and be bound by these Terms.

2. Definitions

For clarity and understanding, key terms are defined as follows:

• Platsage: The proprietary SaaS platform owned and operated by Yamil Adrian Elias Soto.
• User: Any individual or legal entity registered on the App, actively using its features.
• Client: Any third party interacting with Users through channels connected to Platsage.
• Content: Messages, text, media, audio, video, or other materials posted or transmitted by Users through the App.
• Personal Data: Any information relating to an identifiable individual, as per Mexican Federal Law on Protection of Personal Data Held by Private Parties.

3. Account Registration and Responsibilities

To use Platsage, you must register and maintain an account. You agree to provide accurate, complete, and updated registration information. You are responsible for maintaining the confidentiality and security of your login credentials. You acknowledge and agree to accept responsibility for all activities occurring under your account. Notify Platsage immediately if you become aware of unauthorized account use or security breaches.

Platsage may verify your identity in accordance with applicable Mexican regulations, including the Federal Civil Code, and may suspend accounts providing inaccurate or fraudulent information.

4. Acceptable Use Policy

You agree to use the App solely for lawful purposes consistent with these Terms and applicable Mexican law. Specifically, you agree not to use Platsage:

• For illegal activities or violating applicable federal, state, local, or international laws.
• To exploit, harm, or attempt to harm minors or other individuals.
• To send unsolicited promotional messages, spam, chain letters, or unauthorized advertisements.
• To impersonate Platsage personnel, other Users, entities, or third parties.
• In any manner that inhibits others' use or enjoyment or could harm Platsage, its reputation, or expose it to liability.

Violation of these provisions may result in immediate account suspension or termination, and potential legal action.

5. Subscription Plans and Payment Terms

Platsage offers subscription-based plans with clearly defined features and pricing detailed on our official website (https://platsage.com). Payments must be made via authorized methods clearly indicated upon subscription. Billing is recurring monthly or annually, depending on your chosen plan. You must maintain accurate and current payment information to avoid service disruptions.

Non-payment or delayed payments may result in account suspension until payment is fully settled.

6. Intellectual Property Rights

All intellectual property rights, including software code, trademarks, logos, graphic interfaces, designs, documentation, and related materials provided through the App are exclusively owned by Platsage or its licensors, protected under applicable copyright, trademark, and intellectual property laws.

While you retain ownership rights in your uploaded content, by submitting such content to Platsage, you grant us a non-exclusive, royalty-free, transferable, worldwide license to use, store, copy, modify, distribute, display, and perform your content solely to deliver and enhance our Services.

Platsage respects intellectual property rights and expects users to do likewise. If you suspect infringement, notify us immediately at contact@platsage.com.

7. User Content and Prohibited Content

You agree to assume full responsibility for content uploaded or transmitted via Platsage. Specifically, you must not upload, share, or distribute content that is unlawful, defamatory, abusive, harassing, obscene, invasive of privacy, racist, or otherwise objectionable or offensive.

You further agree not to transmit content that infringes patents, trademarks, copyrights, trade secrets, or proprietary rights. Content containing viruses, malware, unsolicited advertising (spam), chain letters, or pyramid schemes is strictly prohibited.

8. Monitoring and Enforcement

We reserve the right to:

• Remove or refuse to display content for any valid reason.
• Take appropriate action against content violating intellectual property rights or these Terms.
• Disclose your identity or other details if necessary for legal claims regarding content you have provided.
• Suspend or terminate account access for violations or potential legal risks.

9. Third-party Integrations and Tools

Platsage integrates with third-party tools (such as Zapier, Google Calendar, Zoho Mail, and OpenAI's ChatGPT API) to enhance its functionality. By connecting to these third-party integrations, you agree to the respective terms and privacy policies of these providers. Platsage bears no responsibility for third-party data handling practices or compliance obligations.

10. Privacy and Data Protection

Platsage complies with Mexican Federal Law on Protection of Personal Data Held by Private Parties. Details regarding data collection, usage, storage, and your rights concerning personal data are clearly outlined in our Privacy Policy at https://platsage.com/privacy.

You are responsible for obtaining explicit consent from your Clients regarding the collection, processing, and storage of their personal data within Platsage.

11. Disclaimer of Warranties

Platsage provides the App and Services "as-is" and "as available," without warranties of any kind, express or implied. We make no guarantees regarding service uptime, uninterrupted access, accuracy, security, or compatibility. You acknowledge that the use of the service is at your sole risk.

12. Limitation of Liability

To the maximum extent allowed by applicable Mexican law, including the Federal Civil Code and the Federal Consumer Protection Law, Platsage shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from or relating to your use or inability to use our services.

In any event, Platsage's aggregate liability will not exceed the total fees you paid in the twelve (12) months preceding the event triggering the claim.

13. Indemnification

You agree to indemnify and hold harmless Platsage, its affiliates, directors, officers, employees, and partners against claims, damages, liabilities, losses, or expenses (including reasonable attorney's fees) resulting from or relating to your use of the App or violation of these Terms.

14. Termination and Suspension

Platsage may terminate or suspend access to your account for violation of these Terms, misuse of the service, or at our sole discretion to protect our rights or property. You may terminate your account voluntarily by written notice to Platsage.

Upon termination, access to your account and associated data will be restricted or removed as outlined in our Privacy Policy.

15. Changes to the Terms

We reserve the right to update these Terms periodically. We will inform you of changes via email or platform notifications. Your continued use of the App after updates constitute acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed exclusively by the laws of the United Mexican States, specifically adhering to the Federal Civil Code, Federal Consumer Protection Law, and Federal Law on Protection of Personal Data Held by Private Parties. Any disputes arising under these Terms will be resolved by the competent courts of Mexico City, Mexico. You hereby expressly consent to the jurisdiction of these courts and waive any other jurisdiction.
